Distance Sales Agreement

1. Parties

This Distance Sales Agreement is established electronically between the Seller/Provider whose details are listed below and the Buyer who purchases services through the HybridTone website.

2. Subject of the Agreement

The subject of this agreement is to determine the rights and obligations of the parties regarding the sale, preparation and delivery of TTS (text-to-speech), S2S (speech-to-speech), audio file creation, audio editing, mixing, production and similar digital audio services ordered electronically by the Buyer through the HybridTone website.

3. Scope of the Service

The services provided by HybridTone consist of TTS outputs, S2S outputs, digital audio files, audio editing, mixing or similar digital content prepared in line with the text, description, audio file, project information, preferred voice model, language, tone, usage purpose or similar information uploaded to the system or submitted during the order by the Buyer.

TTS service refers to converting the text submitted by the Buyer into a digital audio file with the selected voice model.

S2S service refers to digitally transforming the audio recording uploaded or submitted by the Buyer in line with the selected voice model, voice color or technical settings.

The scope, fee, delivery format, delivery time, revision right and usage terms of the service are specified on the order screen, quotation form or written/approved communication between the parties.

4. Fee and Payment

The Buyer agrees to pay the total price of the service subject to the order as specified on the order screen or quotation form.

Payment may be made by credit card, debit card, bank transfer/EFT or other payment methods offered by HybridTone.

Service production may not begin before payment is completed. For corporate customers, a written quotation, agreement or invoice may also be issued.

5. Delivery

The digital service subject to the order is delivered to the email address declared by the Buyer during the order, the user panel, a download link or another digital delivery method agreed by the parties.

Delivery time may vary depending on the scope of the order. Delivery time may be separately communicated for work involving long text, multiple languages, multiple voice models, S2S transformation, mixing, editing or revision.

The service is deemed delivered to the Buyer once digital delivery is completed.

6. Buyer’s Responsibilities

The Buyer accepts that the texts, documents, audio files, brands, logos, visuals, project information and other content submitted during the order are lawful.

The Buyer agrees not to upload content or place orders that infringe third-party copyrights, trademark rights, personality rights, voice rights, commercial reputation, privacy or similar rights.

The Buyer accepts that they have the right to use and transform the audio file uploaded within the scope of S2S service and to authorize HybridTone to process it.

The Buyer is responsible for any legal liability arising from texts, audio, visuals, brands, project information and other content submitted by the Buyer.

HybridTone reserves the right to reject, suspend or cancel orders that may be unlawful, misleading, threatening, insulting, fraudulent, politically manipulative, unauthorized voice use, unauthorized voice transformation, unauthorized voice cloning or infringing third-party rights.

7. Right of Withdrawal

The Buyer has the right of withdrawal within 14 days as a rule in distance contracts under applicable legislation.

However, the services subject to this agreement are personalized/project-specific digital audio services prepared in line with the Buyer’s request, selection, uploaded text, audio file, project information, preferred voice model, language, tone and usage purpose.

Therefore, if TTS or S2S audio production begins, an audio file is prepared, processed, transformed or delivered to the Buyer with the Buyer’s approval, the right of withdrawal cannot be exercised.

By placing an order, the Buyer accepts that the service will be produced specifically for their request and that the right of withdrawal cannot be exercised after TTS or S2S audio production begins or the audio file is prepared.

Cancellation requests for orders whose production has not yet started may be separately evaluated by HybridTone. However, cancellation, refund and withdrawal requests are not accepted after audio production has started, the audio file has been prepared or delivered.

8. Return and Cancellation Terms

If the Buyer’s cancellation request is approved for orders whose service production has not started, a refund may be made.

However, refunds may not be made for TTS, S2S, audio editing, mixing and production services that have been specially prepared for the Buyer, whose production has started, that have been completed or delivered.

The order is deemed completed if audio production has started, the audio file has been prepared, processed, transformed or delivered to the Buyer. After this stage, the Buyer’s withdrawal, cancellation or refund request is not accepted.

If there is a technical error caused by HybridTone, incomplete delivery, wrong file delivery or a situation clearly contrary to the order scope, the Buyer’s request is reviewed. If necessary, correction, redelivery or another appropriate solution is provided.

The Buyer’s later change of text, request for a different voice, upload of a different source voice, request for a new language, change of project scope or expansion of usage purpose is not considered a refund reason. Such requests may be evaluated as a new service or additional revision.

9. Revision Terms

If revision rights are included in the order, the number and scope of revisions are specified on the order screen, quotation text or written/approved communication between the parties.

Revision refers to minor technical corrections that remain within the existing order scope.

Text changes, adding new text, different language, different voice model, different source voice, different tone, different music, different editing, different usage purpose or project scope changes may be charged as a new service rather than a revision.

10. Usage Rights

The Buyer may use the TTS or S2S audio files paid for and delivered to them within the usage purpose and scope specified during the order.

For special usage areas such as advertising, television, radio, digital campaign, social media advertising, cinema, games, mobile applications, corporate films, IVR, switchboard, educational content or commercial broadcasting, the license scope may be determined separately.

Unless otherwise agreed in writing, selling, relicensing, using delivered content to create datasets, voice model training, voice cloning or similar purposes is prohibited.

HybridTone is not responsible for third-party claims arising from the Buyer’s use of delivered content if such claims arise from incorrect, incomplete or unlawful information provided by the Buyer during the order.

11. TTS, S2S and Voice Usage

In TTS and S2S services provided by HybridTone, texts, audio and content uploaded by the Buyer may be processed for the purpose of fulfilling the order.

The Buyer agrees not to use texts that are unlawful, misleading, threatening, insulting, fraudulent, politically manipulative, obscene or infringe third-party rights within the scope of TTS service.

Within the scope of S2S service, the Buyer agrees not to use another real person’s voice without authorization and not to create orders for unauthorized voice transformation, voice cloning, imitation, misleading content production, fraud, insult, threat, political manipulation, obscenity or any other unlawful purpose.

HybridTone has the right not to accept, suspend or cancel certain orders for ethical, legal or technical reasons in TTS and S2S services.

12. Personal Data and Privacy

Personal data shared by the Buyer during the order is processed for the purposes of receiving the order, providing the service, payment, invoicing, customer support, technical support and fulfilling legal obligations.

13. Force Majeure

HybridTone cannot be held responsible for late or incomplete performance of the service due to natural disasters, war, fire, internet outage, infrastructure failure, cyberattack, payment system failure, official authority decisions, technical problems caused by service providers or similar force majeure events beyond the control of the parties.

14. Resolution of Disputes

Consumer Arbitration Committees, Consumer Courts or other authorized authorities are competent for disputes that may arise from this agreement within the scope of applicable legislation.

The parties agree to first make efforts to resolve disputes in good faith and through written communication.

15. Effectiveness

The Buyer accepts that they have read, understood and electronically approved this Distance Sales Agreement before placing an order.

This agreement enters into force when the Buyer gives electronic approval and creates the order.
